Real Estate Transaction Coordinator Scope of Work Agreement
Introduction.This Agreement is made and entered into by and between Koinonia Investment Properties LLC, a California limited liability company (the "Company"), and you (the "Client").
Scope of Work.
The Company agrees to create and/or provide certain resources, including, but not limited to, documents, drafts, templates, and other materials, collectively referred to as the "Materials." These Materials shall be delivered to the Client expressly for review, correction, and approval by the Client's legal counsel before use. The Client acknowledges that the Company does not provide legal advice and is strongly advised to seek legal counsel for reviewing, revising, modifying, and/or amending any documents drafted by the Company.
No Legal, Financial, or Tax Advice or Representation. The Company is not a law firm, does not practice law, and does not offer or provide legal, financial, or tax advice. The Company's role is limited to providing Materials and does not represent the Client in a legal, accounting, or financial capacity. All Materials provided are for informational purposes only and should not replace professional legal, tax, or financial advice.
No Warranty or Guarantee. The Company makes no warranty or representation, express or implied, regarding the usefulness, lawfulness, or applicability of the Materials provided. The Client is solely responsible for determining the suitability of the Materials for their specific needs. Furthermore, the Company does not guarantee any particular result or outcome in connection with the Client's use of the Materials.
Client’s Responsibility. The Client expressly agrees to engage and utilize its own legal counsel to review any Materials provided by the Company under this Agreement. The Client acknowledges that the Materials provided by the Company are not a substitute for professional legal, tax, or financial advice.
Term and Termination. This Agreement shall commence upon the Effective Date and continue until either the Company or the Client gives the other party notice of termination via email. Termination shall be effective 30 business days after receipt of written notice.
Payment Terms. Each service shall be priced on an invoice. Payment of any part of the invoice indicates the Client’s acceptance of that invoice for the planned services to be rendered by the Company, and such invoice shall be considered an addendum to this Agreement and binding as such.
To initiate the processing of all transaction coordination work and servicing setup assistance, a nonrefundable deposit equal to 50% of the total cost shall be remitted by the Client. The remaining balance will be billed before submission of the final servicing packet, or at closing.
Process for change order.
When the scope or requirements of a transaction evolve, the Company and the Client will revisit the pricing to ensure it accurately reflects the new or additional scope of work involved.
Further Acknowledgements.
The Client acknowledges the following: - The Company is not providing legal, tax, or financial advice. - I am advised to obtain legal, tax, adn/or financial advice from an attorney and/or tax professional. - The Company is acting merely as a drafter of Materials in accordance with my instructions, and I use any such Materials at my own risk. - I hereby release Koinonia Investment Properties LLC from any claims I may have against it in connection with such Materials (or lack thereof) and any communication the Company has with any other party(ies) in connection with such Materials. - I shall indemnify, defend, and hold harmless the Company from all loss or damage, including expenses and attorney’s fees, that it might suffer as a result of its role as a drafter of the Materials. Acceptance of Terms. By clicking "Submit" or a similar button on the web form, you acknowledge that you have read, understood, and agreed to this Scope of Work. If you do not agree with any part of this Agreement, please do not submit information through the web form.

1. Acceptance of Terms By accessing or using Koinonia Investment Properties LLC Service , you agree to comply with and be bound by these Terms and Conditions. 2. User Responsibilities Users are responsible for maintaining the confidentiality of their account information. Users agree to notify Koinonia Investment Properties LLC immediately of any unauthorized use of their account or any other breach of security. 3. Use of the Service Users agree to use the Service only for lawful purposes and in accordance with these Terms and Conditions. Prohibited activities include, but are not limited to, engaging in illegal activities, infringing on intellectual property rights, and violating the privacy of others. 4. Intellectual Property All content and materials available on the Service, including but not limited to text, graphics, logos, images, and software, are the property of Koinonia Investment Properties LLC and are protected by copyright, trademark, and other intellectual property laws. 5. Privacy Policy The collection and use of personal information are governed by our Privacy Policy, which is incorporated into these Terms and Conditions. By using the Service, you consent to the terms of our Privacy Policy. 6. Disclaimer of Warranties The Service is provided "as is" and "as available" without any warranties of any kind, either expressed or implied. Koinonia Investment Properties LLC does not warrant that the Service will be uninterrupted or error-free. 7. Limitation of Liability In no event shall Koinonia Investment Properties LLC be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses. 8. Changes to Terms and Conditions Koinonia Investment Properties LLC reserves the right to update, change, or replace any part of these Terms and Conditions at any time. Your continued use of the Service after any such modifications constitutes acceptance of the new Terms and Conditions. 9. Governing Law These Terms and Conditions are governed by and construed in accordance with the current jurisdiction.
